TasteDive Developer API Terms of Use

These TasteDive API Terms of Use ("API Terms") govern access to and use of the TasteDive API ("API"), which is provided by Qloo Inc. ("Qloo," "we," "us," or "our"). By accessing or using the API, you ("Developer," "you," or "your") agree to be bound by these API Terms. If you do not agree, you may not access or use the API.
1. Grant of Access & License
Subject to compliance with these API Terms, Qloo grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the API solely for the purpose of integrating TasteDive functionality into your application, website, or service. Qloo reserves the right to revoke or modify access to the API at any time, for any reason, with or without notice.
2. Data Rights & Ownership
By accessing or using the API, you acknowledge and agree that:
- Qloo retains all right, title, and interest in and to the API, all associated data, and all learning derived from API usage.
- Any occurrence data, metadata, entity relationships, sentiment data, or engagement signals transmitted, collected, or inferred through the API ("API Data") shall become the sole and exclusive property of Qloo.
- Qloo shall have the perpetual, irrevocable, worldwide, sublicensable, and royalty-free right to store, process, analyze, enhance, commercialize, and train AI models using API Data.
- Developers may access and use API Data only as permitted under these API Terms and may not sell, redistribute, or modify API Data for purposes competitive with Qloo.
- No Personally Identifiable Information (PII) may be transmitted through the API under any circumstances. Developers must ensure that all transmitted data is fully anonymized and does not contain email addresses, phone numbers, personal user information, or any data that can be used to identify an individual.
3. Restrictions on API Use
You agree not to:
- Use the API in any manner that extracts, copies, or scrapes data for AI model training outside of Qloo's explicit authorization.
- Modify, adapt, sublicense, or interfere with the API or any API Data in a way that circumvents Qloo’s rights.
- Use the API to create a substantially similar or competing service to Qloo’s offerings.
- Retain, store, or cache API Data beyond the period required for real-time processing unless explicitly authorized.
- Disclose API Data to unauthorized third parties.
- Use the API for unlawful purposes, fraud, reverse engineering, or unauthorized data aggregation.
- Violate any applicable local, national, or international laws and regulations when using the API.
- Use the API in any jurisdiction where its use would be restricted or prohibited by law.
4. API Call Limits & Performance Monitoring
- Qloo reserves the right to impose rate limits, throttle API requests, or suspend access to the API for excessive or improper use at its sole discretion.
- Qloo may monitor API usage to ensure compliance and service integrity. Developers may not interfere with such monitoring.
5. Security & Compliance
- You must implement and maintain appropriate security measures to protect API credentials, API Data, and user information.
- If you suspect any unauthorized access or breach, you must notify Qloo immediately.
- Your integration of the API must comply with applicable data protection laws, including but not limited to GDPR, CCPA, LGPD, and other global privacy laws.
- You must not use the API to process, store, or transfer sensitive personal information including but not limited to health data, financial data, or government-issued identifiers.
- Developers must take necessary steps to prevent data leakage, unauthorized access, or any form of security vulnerability that could impact users or Qloo.
6. Modifications & Updates
Qloo reserves the right to modify, discontinue, or update the API at any time, for any reason, without liability or prior notice. Your continued use of the API constitutes acceptance of any modifications.
7. Disclaimer of Warranties & Limitation of Liability
- The API is provided "as is" and "as available" without warranties of any kind. Qloo expressly disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
- Qloo shall not be liable for any indirect, incidental, consequential, or special damages arising from API usage, including loss of business, data corruption, or service interruptions.
- Qloo may terminate or suspend API access at its sole discretion, without liability for any damages resulting from termination.
8. Indemnification
You agree to indemnify, defend, and hold harmless Qloo, its affiliates, officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising from:
- Your use or misuse of the API.
- Any violation of these API Terms.
- Any unauthorized use of API Data or failure to secure user data.
9. Termination & Suspension
Qloo reserves the right to suspend or terminate API access at any time, for any reason or no reason, without prior notice. Upon termination, you must cease using the API immediately and delete all API Data in your possession unless otherwise permitted in writing by Qloo.
10. Arbitration & Dispute Resolution
- Any disputes arising out of or relating to these API Terms shall be resolved exclusively through binding arbitration in New York, under the rules of the American Arbitration Association (AAA).
- You waive any right to participate in a class-action lawsuit or class-wide arbitration.
- The arbitration will be conducted in English, and each party shall bear its own legal costs unless otherwise determined by the arbitrator.
11. Assignability & Business Transfers
- These API Terms are fully assignable and transferable by Qloo in connection with any corporate restructuring, acquisition, or divestiture.
- API Data and all associated rights shall remain the exclusive property of Qloo regardless of business transitions.
12. Governing Law & Compliance with Global Regulations
These API Terms shall be governed by and construed under the laws of the State of New York, without regard to conflicts of law principles. You agree to comply with all applicable laws and regulations, including but not limited to privacy laws, data protection regulations, and industry standards in any jurisdiction where the API is accessed.
13. Updates to These API Terms
Qloo may update these API Terms at any time, at its sole discretion, without prior notice. Your continued use of the API constitutes acceptance of the modified terms.
